TERMS OF SERVICE FOR LAST-MILE SHIPPING LABEL PURCHASE

Welcome to Ship4p!
These Terms of Service ("Terms") govern your access to and use of our website, platform, and related services (collectively, the "Service") for purchasing last-mile shipping labels ("Shipping Labels") from third-party carriers. The Service is provided by Ship4p ("IChiba", "we", "us").
By accessing or using our Service, you confirm that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy (which is attached and an integral part of these Terms). If you do not agree with any part of the Terms, you are not permitted to use the Service.
If you accept or agree to these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that company or legal entity to these Terms.
- Service Description
1.1. Our Service allows you to search, compare, and purchase Shipping Labels from third-party carriers ("Carriers") for last-mile delivery.
1.2. We act as an intermediary between you and your chosen Carrier. We do not transport or deliver goods and are not a party to any contract you enter into with a Carrier for the pickup, transport, or delivery of your goods. - Additional Services
2.1. Depending on the value-added services that each Carrier or our Shipping Partner provides at any given time (e.g., COD collection, high-value cargo insurance, scheduled delivery, etc.), Ship4P will endeavor to display corresponding additional service options (if available and compatible with our platform) on the Shipping Label creation interface ("shipment") for you to choose from.
2.2. You have the right to choose whether or not to use these additional services based on your needs.
2.3. The choice to use additional services may incur extra costs. All costs related to additional services will be clearly displayed (if information is available from the Carrier/Shipping Partner and supported by the Ship4P system for display) for your review and confirmation before completing the purchase of the Shipping Label.
2.4. All additional services are subject to the specific terms, conditions, policies, and liability limitations of the Carrier or Shipping Partner providing that service. Ship4P is not responsible for the quality, availability, or any issues arising from your use of these additional services.
- Account Registration and User Information
2.1. You may need to register for an account to use some features of the Service. You agree to provide accurate, current, and complete information during registration and to maintain its accuracy.
2.2. You are solely responsible for the accuracy of all information provided to create Shipping Labels, including but not limited to the sender's address, recipient's address, package dimensions, weight, and content description. Inaccurate information may lead to an invalid Shipping Label, additional costs, or the Carrier refusing to transport, and Ship4p will be fully exempt from responsibility for processing and costs for these arising issues.
- Role and Responsibilities of the Carrier
4.1. Delivery Operations: The pickup, transportation, handling, and delivery of packages to the final recipient are the sole responsibility of the Carrier you have selected through our Service.
4.2. Carrier Terms: Each Carrier has its own service terms, shipping policies, liability limitations, and compensation procedures. By purchasing a Shipping Label from a specific Carrier, you agree to comply with all applicable terms and conditions of that Carrier. We encourage you to carefully review these terms before purchasing a Shipping Label.
4.3. Transit Time: Any estimated transit times provided on our platform (if any) are based on information from the Carrier and are for reference only. We do not guarantee delivery times.
4.4. Scope of responsibility: Ship4p is responsible for supporting communication with the shipping unit to ensure some time criteria, specifically:
- Maximum 2 days from the handover date, the order needs to be changed to transit printing status by the shipping unit. If transit printing has not been done according to this time criterion, Ship4p staff is responsible for working with the shipping unit to complain and update the shipping status
- 5 days from the transit printing date, the expected status is changed to "Delivered". In case it has been more than 5 days since the transit printing, but the order has not been successfully delivered, Ship4p staff will check the delivery status and urge the shipping unit to complain and expedite delivery.
- Disclaimer of Compensation and Delivery Liability
5.1. No Liability for Carrier Operations: You understand and agree that Ship4p IS NOT A CARRIER and IS NOT RESPONSIBLE for any acts, negligence, or omissions of the Carrier during the provision of transportation services, including but not limited to:
a. Loss, damage, or shortage of goods.
b. Delays in picking up or delivering goods.
c. Delivery to the wrong address due to carrier's error.
d. Any direct, indirect, incidental, special, punitive, or consequential losses or damages arising from or related to the Carrier's services.
5.2. Claims and Compensation:
a. When issues related to loss, damage, delay, or any other problems arise from the transportation and delivery process ("Shipping Claims"), you must immediately notify Ship4p with complete relevant information and evidence.
b. Ship4p will act as the point of contact and support for you. We will forward the Shipping Claim and necessary information on your behalf to our partner (the party directly contracting with the Carrier) to request processing according to their and the Carrier's procedures.
c. The resolution of Shipping Claims, including but not limited to decisions on claim acceptance, form, and extent of compensation (if any), will be entirely dependent on and subject to the terms, conditions, policies, and procedures of the Carrier and/or our partner.
d. Ship4p will endeavor to update you on the progress of Shipping Claim processing upon receiving feedback from our partner. However, we do not have the authority to intervene or determine the final outcome of the Shipping Claim.
e. You agree that Ship4p is not legally responsible for the outcome of Shipping Claim processing by the Carrier or our partner, and has no obligation to directly compensate you for losses arising from transportation services provided by the Carrier.
5.3. No Guarantees: Ship4p makes no representations or warranties regarding the quality, suitability, reliability, timeliness, or availability of services provided by the Carrier. Your decision to use the services of a specific Carrier is entirely at your own discretion and risk.
5.4. Support Role: Ship4p commits to supporting you to the best of its ability by receiving, forwarding Shipping Claim information, and updating progress as stated in section 5.2. This support does not imply that we acknowledge any legal responsibility related to the Carrier's operations or the outcome of claim resolution.
- Service Fees and Payments
6.1. You agree to pay all applicable fees for Shipping Labels you purchase through our Services according to the price list displayed at the time of purchase.
6.2. You may use some carriers provided by us, such as USPS, DHL Express, USPS, etc., where we provide a Wallet for you to deposit funds, and from which the cost of printing shipping labels will be deducted.
Your Wallet can be topped up via bank transfer and other payment methods that we may add in the future, subject to certain limitations, and you agree to maintain at least one valid payment method on file throughout the active period of your account. You agree that the Provider may impose limitations on the payment method used and/or the amount that can be deposited into your Wallet. You also agree that if your Shipping Account (Wallet) balance becomes negative for any reason, the Provider has the right to charge any valid payment method you authorize for any outstanding Service Fees.
6.3. Unless explicitly stated otherwise, all fees paid to Ship4p for the purchase of Shipping Labels are non-refundable, even if the Shipping Label is not used, except as provided in the "Refunds for Unused Labels" section below.
- Shipping Label Cancellation and Refund Policy
7.1. General Principles: Ship4P fully complies with the regulations regarding shipping label ("label") cancellation and refund policies of the Carriers or their agents with whom we partner ("Shipping Partners"). Please note that each Shipping Partner may have different policies, and these policies may change from time to time without prior notice from them. You are responsible for researching and updating yourself on the current policies of the Shipping Partner related to the Shipping Label you purchase.
7.2. Timeframe for Requesting Label Cancellation:
a. You may submit a request to cancel a Shipping Label created through the Ship4P system within thirty (30) days from the date the Shipping Label was created. Cancellation requests outside this timeframe may not be accepted.
7.3. Conditions and Refund Policy for Label Cancellation:
a. Prerequisite Condition: Consideration for Shipping Label cancellation and refund only applies to Shipping Labels for which the corresponding package HAS NOT BEEN HANDED OVER by you to the Carrier or Shipping Partner in any form (e.g., not yet dropped off at a post office, not yet picked up by a Carrier employee).
b. Cases of Refund Refusal Due to Handover: In cases where you accidentally or intentionally submit a Shipping Label cancellation request after the package has been handed over to the Carrier/Shipping Partner, your refund request will be rejected by the Carrier/Shipping Partner. Ship4P is not responsible and will not refund shipping fees for these cases.
c. Refund Policy Based on Time of Cancellation Request:
i. Cancel Label BEFORE the estimated shipping date: If your Shipping Label cancellation request is submitted and recorded as valid by our system (according to section 7.3.a) BEFORE the date you intend to hand over the package to the Carrier/Shipping Partner (this date is declared by you or defaulted by the system at the time of label creation – "Estimated Shipping Date"), you will receive a 100% refund of the shipping fee paid for that Shipping Label. The processing time for refunds, if approved by the Carrier, is 14 to 30 days, depending on the Carrier.
- Special Recommendation for POD (Print On Demand) Customers: To ensure the possibility of a 100% refund when needing to cancel a label, we strongly recommend that you set the "Estimated Shipping Date" for the Carrier/Shipping Partner to be two (2) to three (3) days after the Shipping Label creation date, and not more than seven (7) days. This allows you sufficient time to process the order and make a decision to cancel the label if necessary.
ii. Cancel Label ON or AFTER the estimated shipping date: If your Shipping Label cancellation request is submitted and recorded as valid by our system (according to section 7.3.a) ON or AFTER the "Estimated Shipping Date", you will only receive an 85% refund of the shipping fee paid for that Shipping Label. The remaining 15% of the shipping fee will be retained by Ship4P to cover administrative costs, reconciliation, and necessary procedures with the Carrier/Shipping Partner to cancel the manifest (list of goods) that has been created and may have already been sent.
7.4. Request Processing Procedure:
a. All Shipping Label cancellation and refund requests must be made through the functions and procedures specified on the Ship4P platform.
b. The processing time for refund requests may vary depending on the procedures of the Shipping Partner and your bank. Ship4P will endeavor to process valid requests as soon as possible after receiving confirmation and a refund from the Shipping Partner (if any).
7.5. Policy Changes: Ship4P reserves the right to update or modify this Shipping Label Cancellation and Refund Policy as needed to reflect changes in Shipping Partner policies or to improve our processes. All changes will be announced on the Ship4P platform.
- User Obligations
8.1. Comply with current laws, including regulations on prohibited and restricted goods.
8.2. Do not use the Service for illegal or fraudulent purposes.
8.3. Package goods carefully and in accordance with the Carrier's standards.
- Limitation of Liability
To be clear, to the maximum extent permitted by applicable law, Ship4p (including our suppliers and licensors) will not be liable to you or anyone else for the following, regardless of the legal reason (whether due to breach of contract, error (including negligence), or any other reason):
(A) Indirect damages: We are not responsible for any indirect, special, incidental, or consequential damages. This includes, for example, damages such as:
- Loss of business profits.
- Business interruption.
- Unexpected or inaccurate service results.
- Computer errors or malfunctions.
(B) Maximum compensation limit: If Ship4p is liable to compensate you for any reason, the total maximum compensation amount we must pay will NOT exceed the amount or compensation rate that the carrier compensates us.
(C) Carrier errors: We are not responsible for any acts, omissions, or misconduct by the Carrier. (This has been further clarified in Section 5).
(D) Matters beyond control: We are not responsible for any issues or incidents occurring due to causes beyond Ship4p's reasonable control.
Important note: Laws in some jurisdictions may not allow the exclusion or limitation of certain types of damages or liabilities as stated above. Therefore, some of these limitations or exclusions may not apply to you. However, we will always apply these limitations and exclusions to the fullest extent permitted by law.
- Indemnification
To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold Ship4p, its subsidiaries, affiliates, officers, agents, employees, and partners harmless from any and all claims, liabilities, damages (actual and consequential), losses, and expenses (including attorneys' fees) arising from or in any way related to any third-party claims regarding (a) your use of the Service (including any actions taken by a third party using your account), (b) your breach of these Terms, and (c) your violation of the Carrier's rules, policies, terms of service, or any agreement between you and the Carrier. In the event of such a claim, suit, or action ("Claim"), we will attempt to notify you of the claim using the contact information we have for your account (provided that failure to send such notice will not exclude or reduce your indemnification obligation).
- Modification of Terms
We reserve the right to modify these Terms at any time. We will notify you of significant changes by posting the revised Terms on our website or through other communication means. Your continued use of the Service after such changes become effective constitutes your acceptance of the revised Terms.
- Termination of Service
12.1. We reserve the right to suspend or terminate your access to the Service at any time, for any reason, at our sole discretion, including your breach of these Terms.
12.2. You may stop using the Service and request to close your account at any time by following the instructions on the website (https://help.ichiba.net/vi/article/dang-ky-su-dung-khong-gian-lam-viec-workspace-80h50d/).
- General Limitation of Liability (Excluding Section 5)
To the maximum extent permitted by law, Ship4p shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from
(i) your access to or use of or inability to access or use the Service;
(ii) any conduct or content of any third party on the Service, including without limitation, any defamatory, offensive, or illegal conduct of other users or third parties;
(iii) any content obtained from the Service; or
(iv) unauthorized access, use, or alteration of your transmissions or content. This limitation applies even if Ship4p has been advised of the possibility of such damages.
- Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Vietnam. Any disputes arising out of or relating to these Terms or the use of the Service shall first be resolved through amicable negotiation. If negotiation fails, the dispute shall be submitted to the competent court in Vietnam for resolution.
